Closed Beta Terms and Conditions
1. Introduction
1.1. Welcome to Placy's closed beta (the "Closed Beta"). Through the Closed Beta, Placy Ltd ("Placy", "we", "us") is making Placy Copilot (the "Service") available to selected agencies on a no-fee, evaluation basis ahead of its commercial launch.
1.2. These Closed Beta Terms and Conditions (the “Terms”) set out the basis on which the real estate agency on whose behalf these Terms are accepted (the “Client”, “you”) may access and use the Service during the Closed Beta. Placy and the Client are each a “Party” and together the “Parties”.
1.3. These Terms apply only to the Service you have been invited to use in the Closed Beta.
1.4. By accessing or using the Service, or by confirming your acceptance in the manner set out at the end of these Terms, you confirm that you accept these Terms and agree to comply with them. No signature is required for these Terms to take effect. If you do not agree, you must not access or use the Service.
1.5. These Terms apply to business users only. The Service is made available solely for use by the Client accessing it in the course of its business, and nothing in these Terms is intended to confer any right on a consumer or individual.
1.6. The individual accepting these Terms on behalf of the Client represents and warrants that (a) the Client is a real estate agency or other business operating in the real estate sector, and (b) they are duly authorised to accept these Terms on the Client’s behalf and to bind the Client to them. References to “you” in these Terms are to the Client.
2. Scope of the Closed Beta
2.1. In consideration of Placy granting the Client access to the Service for the purposes of the Closed Beta, and the Client agreeing to comply with these Terms, the following applies.
2.2. These Terms govern the Client's participation in the Closed Beta for the Service during the Closed Beta Period defined below.
2.3. Access to the Service during the Closed Beta is provided solely for evaluation and feedback purposes. The Client may use Output in the course of its business, including by sharing it with its own customers, but does so entirely at its own risk and responsibility. Placy accepts no liability for any use of Output by the Client or any third party.
3. Closed Beta Period, Termination and Transition
3.1. The Closed Beta shall commence on the date of your acceptance of these Terms (the “Closed Beta Start Date”) and shall continue for a period of one (1) calendar month (the “Closed Beta Period”), unless terminated earlier in accordance with clause 3.
3.2. Either Party may terminate the Closed Beta at any time, for any reason or no reason, on five (5) business days' written notice (email accepted) to the other Party.
3.3. Placy may suspend or terminate the Client's access to the Service immediately, without notice, where necessary to protect the security, integrity, or availability of the Service or the data of other users.
3.4. The Closed Beta ends on expiry or termination of the Closed Beta Period, or earlier if the Parties enter into Placy’s standard commercial terms for the Service (the “Commercial Terms”), which shall then govern the Client’s use of the Service. On the Closed Beta ending, the Client’s access under these Terms ends, without prejudice to clause 3.5.
3.5. The following clauses shall survive on expiry or termination of the Closed Beta Period: clauses 2.3 (Output use), 5 (AI Output Disclaimer), 6 (Fees), 7.3 (Client Restrictions), 8 (Data Protection), 9 (Content and Output Ownership), 10 (Confidentiality), 11 (Feedback), 12 (Intellectual Property in the Service), 13 (Disclaimers and Limitation of Liability) and 15 (General).
4. Nature of the Closed Beta Service
4.1. The Client acknowledges that the Service is provided in a pre-commercial, test state and may be incomplete, contain errors, or be modified, suspended, or withdrawn by Placy at any time during the Closed Beta Period without liability.
4.2. Placy gives no service level commitment, uptime guarantee, or warranty of availability, accuracy, or fitness for any particular purpose in connection with the Service during the Closed Beta.
4.3. The Client is solely responsible for determining whether the Service is suitable for any use it makes of it during the Closed Beta, and for any decisions made on the basis of any Output.
5. AI Output Disclaimer
5.1. The Service uses artificial intelligence (AI), including AI models and technology provided by third parties (together, the “AI Technology”), to deliver some or all of its functionalities. The Client acknowledges that Output generated using the AI Technology may be inaccurate, incomplete, outdated, or unsuitable for the Client’s particular purposes.
5.2. The Client shall independently review and verify any Output before relying on it or acting on it. "Output" means any output generated by the Service using the Content during the Closed Beta.
5.3. This clause 5 is without prejudice to, and does not limit, the disclaimers set out in clause 4 (Nature of the Closed Beta Service) and clause 13 (Disclaimers and Limitation of Liability).
6. Fees
6.1. No fees are payable by the Client for participation in the Closed Beta or use of the Service during the Closed Beta Period.

7. Client Obligations and Restrictions
